These Terms supplement, but do not replace, any specific project agreements. In case of conflict, the project agreement will take precedence.

5. Payment Terms

Payment terms for services will be specified in your project agreement. General payment terms include:

• Payment schedules as outlined in project agreements
• Late payment fees may apply for overdue accounts
• All prices are in Canadian dollars unless otherwise specified
• We reserve the right to suspend work for non-payment
• Refunds are subject to the terms of your specific project agreement

6. Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of Sylvarenovations or its content suppliers and is protected by Canadian and international copyright laws.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYLVARENOVATIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Sylvarenovations and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

11. Dispute Resolution

Any disputes arising from or relating to these Terms or the Service shall be resolved through:

1. Good Faith Negotiation: Parties will attempt to resolve disputes through direct negotiation
2. Mediation: If negotiation fails, disputes will be submitted to mediation in London, Ontario
3. Arbitration: If mediation fails, disputes will be resolved through binding arbitration in accordance with the Arbitration Act (Ontario)

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.
